Botim Money Merchant Service Standard Terms and Conditions

1. Definitions And Interpretation

1.1 Definitions

In the Agreement, and in the Botim Money Merchant Service Standard Terms and Conditions (the Terms), the following definitions shall apply

3D Secure

The “Three-Domain Secure” protocol developed by Visa International Inc. (Visa) branded as “Verified by Visa” and “MasterCard SecureCode” developed by MasterCard International Inc. (MasterCard), including successive versions thereof and any amendments thereto.

Acquirer

A financial institution that is authorised by a Card Scheme to enable the use of a Payment Method by accepting Transactions from the Merchant on behalf of the Card Schemes, routing these Transactions to the Card Schemes or Issuers (as appropriate), and collecting and settling the resulting funds to the Merchant.

Acquiring via Botim Money

Use of a Payment Method via Botim Money where Botim Money acts as the Acquirer or Botim Money contracts with the relevant third party Acquirer on behalf of the Merchant to enable the use by the Merchant of such Payment Method.

Agreement

These Terms together with the completed Merchant Onboarding Form.

AML/CTF

Anti-Money Laundering and Counter-Terrorism Financing.

API

Application Programming Interface consisting of a direct secured internet connection between the Merchant’s site and the Botim Money environment via which Payment Details are sent for individual Transactions and allowing Botim Money to provide its Services with respect thereto.

Authorisation

The process whereby a Card Holder (or Merchant on the Card Holder’s behalf) requests permission for a Payment Method to be used for a particular purchase of the Merchant Services or Merchant Products. “Authorised” shall have the corresponding meaning.

Botim Money

Botim Money Technology LLC., a company registered in the Emirates of Abu Dhabi, UAE and licensed by the Central Bank to provide retail payment services and issuing and operating a stored value facility.

Business Day

A day other than a Saturday, Sunday or public holiday in the UAE on which banks are open for business in the UAE.

Capture Period

The period in which an Authorised Transaction can be Captured. The Capture Period varies per Payment Method.

Capturing

The confirmation by (or on behalf of) the Merchant to the Acquirer that a Transaction for which the Merchant received an Authorisation is to be executed and the account of the Card Holder is to be actually charged for the Transaction. “Captured” shall have the corresponding meaning.

Card

Any form of Credit Card or Debit Card, which may be used by a Cardholder to carry out a Transaction on the Cardholder’s account.

Card Scheme

MasterCard Inc. ®, Visa International Inc. ®, American Express®, Union Payor any other payment card processor as may be specified by Botim Money from time to time and any affiliate thereof and any of their successors and assigns.

Card Verification Method

/ CVM Code

The 3- or 4-digit numeric code that is printed on a Card. This code is known as: for Visa: CVV2; for MasterCard: CVC2; for American Express and Discover: CID. Collectively referred to as CVM Code.

Cardholder

Any person who is issued a Card and possesses and uses a Card and, where required on the Card, whose signature appears on the Card as an authorised user.

Central Bank

means the Central Bank of the United Arab Emirates.

Chargeback

A Transaction which is successfully charged back on request of the Card Holder or the Issuer pursuant to the relevant Scheme Rules resulting in a cancellation of a Transaction in respect of which the Merchant has been paid or was due to be paid. If a Chargeback occurs for a Transaction in respect of which the Merchant already received Settlement of the related funds, this results in the unconditional obligation for the Merchant to immediately return the Settled funds to Botim Money, to enable Botim Money to return such funds to the Card Scheme or

Acquirer (as appropriate).

Chargeback Fee

The fee charged by Botim Money to the Merchant in respect of handling a Chargeback.

CNP or Card Not Present Transaction

A Transaction by a Cardholder where the Cardholder is not physically present at the point of sale at the time of the Transaction. CNP shall comprise MO/TO and E-Commerce Transactions.

Credit Card

Any form of credit card, which permits or enables Transactions on a Cardholder’s account.

Customer

A Cardholder or Wallet Holder in their capacity as a customer of the Merchant.

Debit Card

Any form of debit card, which permits or enables Transactions on a Cardholder’s account.

Delivery Date

The date on which the complete Merchant Product and/or Merchant Service is delivered to the Card Holder who paid for the corresponding Transaction.

Deposit

A sum of money held by Botim Money and withheld by Botim Money from funds to be Settled to the Merchant and/or separately deposited with Botim Money by the Merchant on Botim Money’s request as security for Chargebacks, Fines and fees due to Botim Money.

Deposit Level

The minimum level of Deposit set for the Merchant from time to time pursuant to these Terms.

E-Commerce Transaction

A Transaction by a Card Holder where said Card Holder is not physically present at the point of sale at the time of the Transaction, and the Payment Details are presented to the Merchant or Botim Money by the Card Holder by means of secure internet communications.

Fees

The fees charged by Botim Money for the Services as set out in the Merchant Onboarding Form and such other fees and charges imposed by service providers engaged in providing services on which the Services are based, including Card Schemes.

Fine

Any fine, uplifted service fee or other additional payment or charge as imposed by the Card Schemes, Central Bank,  Acquirers to the Merchant and/or Botim Money, as a result of situations such as, but not limited to, breach of Scheme Rules by the Merchant or caused by the Merchant, excessive fraud levels or excessive Chargeback levels.

Force Majeure

Any circumstances which are beyond the reasonable control of the Party, that could not reasonably have been foreseen by that Party at the time of execution of the Agreement, and directly prevent that Party from performing its obligation under the Agreement and includes (among other things) war, civil commotion, armed conflict, acts of government, acts of government bodies, riot, act of terrorism, fire, flood or other act of God (excluding for the avoidance of doubt any labour dispute, labour shortages, strikes or lock-outs).

Fraud Control Tool

The fraud detection tool licensed to Botim Money which may comprise Gatekeeper (the fraud monitoring tool of MasterCard® Payment Gateway Services authentication engine), Decision Manager (the fraud monitoring tool of Cybersource® authentication engine) or a similar alternative fraud solution owned by or licensed to Botim Money and meeting the standards and requirements of the Card Scheme.

Hosted Payment Pages

The API where a Card Holder is redirected from the Merchant’s shopping site to a payment site hosted by Botim Money, on which the Payment Details are entered by the Card Holder.

Inflation

The UAE inflation rate as provided by the relevant governmental authority of UAE.

Interchange Fees

The fees set and charged by the Card Schemes (and in part passed on to the relevant Issuer) for processing and settlement of a Transaction. These fees shall include the assessment fees and any other scheme fees charged by the Card Scheme for the particular Transaction.

Issuer 

An institution that issues Payment Methods to the Card Holder and whose name appears on the Card or bank account statement as the Issuer or who enters into a contractual relationship with the Card Holder with respect to the Payment Method.

Merchant

The company entering into an agreement with Botim Money and for which Botim Money processes Transactions related to the Merchant Services and/or Merchant Products.

Merchant Discount Rate (MDR)

The total amount of fees charged to a Merchant (inclusive of the Transaction Fee), per Transaction for the use of the relevant Payment Method for that Transaction. This can be a percentage of the Transaction amount, or a fixed fee, or a combination of a percentage and a fixed fee.

Merchant Onboarding  Form

Unless the context requires otherwise, the form completed by the Merchant as part of Botim Money’s merchant onboarding process for the provision of the Services to the Merchant, and in conjunction with these Terms, comprising the Agreement between the Merchant and Botim Money.

Merchant Portal

The secured interface on Botim Money’s website where the Merchant can review and operate on Transactions processed on their behalf, profile and settings and find usage instructions, information regarding the Services and the Payment Methods.

Merchant Product / Merchant Service

A product/service which the Merchant is selling/providing and for which Transactions are processed.

MO/TO or Mail Order/Telephone Order Transaction

A Transaction by a Card Holder where the Card Holder is not physically present at the point of sale at the time of the Transaction, and the Payment Details are presented to the Merchant by the Card Holder by means of mail (not email), fax or telephone.

Non-Usage Fees

The Fee that Botim Money charges to the Merchant at its sole discretion in the event of the non-utilization of the Services.

Order Currency

The Currency in which the Transaction is originally offered to the Card Holder by the Merchant.

Payment Currency

The Currency in which a Transaction is processed.

Payment Details

The information which makes up a Transaction message which needs to be submitted to the API to enable the processing of the Transaction by Botim Money and to perform fraud checks, including details regarding the Card, the Card Holder, relevant authentication details and the payment amount.

Payment Method

A method of enabling payments by Card Holders to merchants such as Cards, online and offline bank transfers and direct debits offered by the Card Schemes and Alternative Payment Methods.

PCI DSS

The security standards for transmitting, processing or storing card data / payment details, known under the name PCI DSS, as required to be observed under the Scheme Rules of the Card Schemes. (www.pcisecuritystandards.org).

POS / Point of Sale Transaction

Transaction submitted for processing by a Cardholder via a POS Terminal where the Cardholder is physically present at the location of the POS Terminal.

POS Terminal

Device designed to submit POS Transactions to Botim Money by reading the relevant data on the Card, registering the approval of the Cardholder for the Transaction, encrypting the Payment Details and sending them via the public internet to

Botim Money for processing.

Processing Fee

The fee charged by Botim Money for each Transaction submitted for processing to the API, regardless of the Transaction amount and the type of Payment Method used.

Refund

A (partial or full) reversal of a particular Transaction, at the initiative or request of the Merchant, resulting in the funds (or parts thereof) being reimbursed to the Card Holder.

Prohibited and Restricted Products and Services

The products and services declared to be prohibited or restricted from time to time by the Card Schemes, Central Bank  or Botim Money. 

RFI or Request for Information

A request from a Card Scheme or Acquirer received by Botim Money for more information about a Transaction, made available by Botim Money to the Merchant in electronic form.

Scheme Rule

The collective set of bylaws, rules, regulations, operating regulations, procedures and/or waivers issued by the Card Schemes, and the Central Bank rules as may be amended or supplemented over time and with which the Merchant must comply when using the relevant Payment Method. 

Services

The collective set of payment processing, payment routing, fraud control, reconciliation, reporting, remittances, Settlement and/or other services as provided by Botim Money to the Merchant to enable the Merchant to use Payment Methods to process Transactions, and any other services offered by Botim Money to the Merchant under the Agreement.

Settlement

The payment of amounts by Botim Money to the Merchant, owed with respect to settlements received by Botim Money from Acquirers or Card Schemes for Transactions validly processed for the Merchant, minus the amounts for Refund and Chargebacks, Transaction Fees and the amounts needed to maintain the Deposit at the applicable Deposit Level. “Settle” and “Settled” shall have the corresponding meanings.

Software

The collective set of programs and data developed and/or operated by Botim Money from time to time as needed to provide the Services to its merchants, including the API.

Terms

These Botim Money Merchant Service Standard Terms and Conditions.

Traffic

The profile of Merchant Transactions, including volume, spread across Payment Methods, geographical spread and other relevant information.

Transaction

An Authorisation request of a Card Holder for a payment from the Card Holder to the Merchant submitted by the Merchant to Botim Money.

Transaction Fee

The sum of the Merchant Service Charge (MDR) and Processing Fee.

UAE

The United Arab Emirates.

Uncompleted Order Amount

The total amount of Authorised, Captured and/or Settled Transactions for the Merchant at any point in time, for which the Merchant Products and/or Merchant Services (as appropriate) have not been delivered to the relevant Card Holders at that time and/or for which the return rights or order cancellation rights of the Card Holder under the terms and conditions of the Merchant and/or applicable law have not yet lapsed.

VAT

The value added tax as defined under Federal Law by Decree No. 13 of 2016.

Working Hours

From 9:00 am GST to 5:00 pm GST on Business Days in the UAE, or such other hours as may be published by Botim Money from time to time.

1.2 Interpretation
  1. Clause, Schedule and paragraph headings shall not affect the interpretation of these Terms.
  2. Unless specified otherwise, references to Clauses and Schedules are to clauses and Schedules of these Terms.
  3. A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality).
  4. The Schedules form part of these Terms and shall have effect as if set out in full in the body of these Terms and any reference to these Terms includes the Schedules.
  5. A reference to a company shall include any company, corporation or other body corporate, wherever and however incorporated or established.
  6. Unless the context otherwise requires, words in the singular shall include the plural and vice versa.
  7. Unless the context otherwise requires, a reference to one gender shall include a reference to the other genders.
  8. The Agreement shall be binding on, and endure to the benefit of, the Merchant and Botim Money and their respective personal representatives, successors and permitted assigns, and references to any party shall include that party’s personal representatives, successors and permitted assigns.
  9. A reference to legislation or a legislative provision is a reference to it as amended, extended or re-enacted from time to time.
  10. A reference to writing or written includes email.
  11. Any obligation in the Agreement on a person not to do something includes an obligation not to agree or allow that thing to be done.
  12. A reference to these Terms or to any other agreement or document is a reference to these Terms or such other agreement or document, in each case as varied from time to time.
  13. Any words following the terms including, include, in particular, for example or any similar expression shall be interpreted as illustrative and shall not limit the sense of the words precedin

2. Description of the Services

2.1 Payment Processing

  1. The Services deliver real time or near real time Transaction processing capability over the internet with a high availability service level applying to the API. The Services include reconciliation services for Transaction Acquired and Settled via Botim Money, to help match processed Transactions with settlements received from the relevant Acquirers and Card Schemes. All Card Not Present Transactions shall be submitted to Botim Money for processing through the Hosted Payment Page as API, unless otherwise agreed in the Agreement. All POS Transactions shall be submitted to Botim Money to the API by means of a Botim Money approved POS Terminal, which complies with the requirements set out in these Terms or as directed by Botim Money in writing from time to time.
  2. If the relevant Acquirer or Card Scheme settles related funds directly to the Merchant (and not via Botim Money), reconciliation services will not be available unless specifically agreed otherwise in writing by Botim Money.
  3. The Merchant is obliged to ensure that all data that Botim Money requests to be provided for processing a Transaction, including to perform fraud checks, are provided in a timely fashion with each Transaction submitted for processing by Botim Money. If the Merchant fails to provide the requested data with each Transaction it submits for processing, Botim Money has the right to immediately suspend Transaction processing for all Transactions for the Merchant. Botim Money may change the data required to process Transactions from time to time by giving prior notice to the Merchant.
  4. The processes for authentication, Authorisation, third party Acquiring, clearing and Settlement of Transactions, to Botim Money, are controlled by and are the responsibility of the third party Acquirers, Card Schemes and Issuers and are subject to the Scheme Rules. Botim Money acts in its own name and does not have primary responsibility for services provided by these third parties and does not control the services provided by third party Acquirers, Issuers and Card Schemes.
  5. Acquiring by Botim Money includes the following:
    1. accepting Transactions from the Merchant and routing the same to the relevant third party Acquirer, Card Scheme or Issuer;
    2. collecting and Settling the resulting funds to the Merchant;
    3. transmitting pass-through fees, including Card Scheme costs, to the Merchant where interchange plus plus (sometimes referred to as interchange ++ or interchange plus) pricing is agreed; and
    4. reconciling processed Transactions with settlements received from the relevant third party Acquirers, Card Schemes and Issuers.

2.2 Merchant Registration, KYC Check and Compliance

  1. Botim Money’s acceptance of the Merchant as user of the Services and the relevant Payment Methods is strictly personal and limited to the use by the Merchant of the Services for payment of the Merchant’s own Merchant Products and Merchant services. The Merchant may not use the Services to facilitate the payment for products or services sold by third parties and therefore may not resell the Services to third parties unless authorised under Clause 2.11.
  2. Support for each Payment Method is subject to acceptance by the relevant Card Scheme or Acquirer used by the Card Scheme, which such Acquirer or Card Scheme may withhold or withdraw at its discretion at any time. Some Card Schemes or Acquirers may require the Merchant to enter into a direct agreement with the Acquirer or Card Scheme before the Merchant may use the relevant Payment Method. The Merchant hereby authorizes Botim Money to submit Registration Information received from the Merchant to the relevant Card Schemes and Acquirers to obtain permission to provide access to their Payment Methods to the Merchant.
  3. Comprehensive Due Diligence and Continuing Compliance: Notwithstanding anything to the contrary contained in these Terms, the Merchant acknowledge and agrees that:
    1. as a Central Bank -regulated entity, Botim Money is subject to stringent laws and regulations (including AML/CTF and  Sanctions laws and regulations) as well as KYC (‘Know Your Customer’) requirements imposed by the Central Bank, Card Schemes and Acquirers;
    2. to comply with these obligations, Botim Money reserves the right to request from the Merchant any document or information about (among other things) itself, its activities and its shareholders (including ultimate beneficial owners) (including the information in the Merchant Onboarding Form) deemed necessary or appropriate by Botim Money for the purpose of performing due diligence, risk assessment, or any other purpose related to Botim Money’s legal or regulatory obligations. This right extends to the initial registration process and until the termination of the Agreement;
    3. Botim Money may run further checks on the Merchant’s identity, creditworthiness and background including by contacting and consulting relevant registries and governmental authorities;
    4. it will promptly and upon request provide such documents or information to Botim Money. This obligation is a condition precedent of the commencement of the business relationship between Botim Money and the Merchant and continues to apply until termination of the Agreement. The Merchant warrants unconditionally that all information and documentation it provides to Botim Money is correct and up to date. Further, the Merchant undertakes to provide Botim Money with at least thirty Business Days prior written notice of any change in the information or document previously provided to Botim Money or, where prior notice is impossible or impracticable, as soon as possible after such change;
    5. if the Merchant fails to provide the requested documents or information in a timely manner, or if the provided documents or information do not meet Botim Money’s standards for compliance, Botim Money reserves the right at its sole discretion not to commence, or to discontinue, the business relationship between Botim Money and the Merchant, and giving written notice to the Merchant immediately terminating the Agreement;
    6. it will indemnify and hold Botim Money harmless from any loss, liability, or expense arising from the Merchant’s failure to provide required documents or information, or from the Merchant’s provision of inaccurate, incomplete, or misleading documents or information. This clause shall survive the termination of the Agreement;
    7. Botim Money reserves the right to change the documents or information required to be provided by the Merchant at any time and will notify the Merchant of any such changes. The Merchant’s continued use of the Services following such notification will constitute the Merchant’s acceptance of the revised requirements.
  4. AML/CTF Compliance: Notwithstanding anything else contained in these Terms;
    1. in recognition of the significant role of the financial industry in preventing money laundering, terrorist financing and proliferation financing, the Merchant agrees to strictly adhere to all applicable AML/CTF laws and regulations, both within its jurisdiction the United Arab Emirates and those prescribed by international authorities;
    2. the Merchant undertakes to maintain robust internal controls and procedures designed to identify, assess, monitor, manage, and mitigate money laundering, terrorist financing, proliferation financing and sanctions risks associated with its business activities. This includes, but is not limited, to conducting thorough customer due diligence, implementing ongoing transaction monitoring systems, and establishing a risk-based approach to evaluate and manage money laundering, terrorist financing, proliferation financing and sanctions risks;
    3. the Merchant agrees to comply fully with all applicable Anti-Bribery and Corruption laws and regulations in the UAE. The Merchant shall maintain effective policies, controls, and procedures designed to prevent, detect, and address any acts of bribery, corruption, or unethical conduct in connection with its business activities.
    4. the Merchant acknowledges and agrees that it is required to promptly report any suspicious or unusual transactions or activities to Botim Money, and, where applicable, to the relevant regulatory authorities in compliance with local and international reporting obligations. The Merchant acknowledges that any failure to report suspicious activities could lead to the termination of the Services  and legal repercussions;
    5. the Merchant acknowledges and agrees that Botim Money reserves the right to review and assess the Merchant’s AML/CTF compliance programs and policies at any time. The Merchant agrees to provide to Botim Money evidence of such AML/CTF compliance programs and policies and its compliance therewith promptly upon request. Failure to provide satisfactory evidence may result in the suspension or termination of the Services;
    6. the Merchant further agrees to provide ongoing training to its employees, agents, and representatives to ensure they are equipped with the necessary knowledge and skills to comply with AML/CTF laws, regulations, and related internal controls;
    7. the Merchant agrees to fully cooperate and respond without undue delay to any Request for Information initiated by Botim Money in connection with its regulatory obligations. Such requests may relate to inquiries from regulatory authorities, including but not limited to the Central Bank, local law enforcement agencies, courts, or other competent authorities. This includes the timely provision of relevant information, documentation, or facilitating physical inspections as may be required to ensure compliance with applicable laws,  and regulations, the Merchant acknowledges that Botim Money is entitled to perform audits, either directly or via a third-party, on the Merchant’s AML/CTF compliance programs and procedures to ensure their adequacy and effectiveness; and
    8. in the event of a change in AML/CTF laws or regulations that may impact the Merchant’s obligations under these Terms, the Merchant agrees to promptly adapt its procedures and controls to remain in compliance therewith, and to notify Botim Money of any such changes to its procedures and controls.
  5. The Merchant hereby expressly consents to grant Botim Money access to its AECB (Al Etihad Credit Bureau) report for the purposes of conducting enhanced due diligence on its creditworthiness and assessing its suitability for Botim Money’s current and future lending services. The Merchant further consents to Botim Money obtaining any and all necessary credit and performance-related reports from any other relevant agencies, as required by Botim Money, to facilitate a comprehensive evaluation of the Merchant’s financial standing and operational performance. This consent shall remain in effect for the duration of the business relationship between Botim Money and the Merchant and shall survive the termination of the Agreement for any reason. The Merchant acknowledges and agrees that any failure to provide or maintain the required consent may result in the suspension or termination of Botim Money’s Services and legal liability.

2.3 Payment Method And Currency Support:

  1. Botim Money will support the Payment Methods and Currencies as specified in the Merchant Onboarding Form, as long as Botim Money continues to support these in its general product portfolio. In the event of: (i) material amendments to terms imposed by the relevant Card Scheme or Acquirer; (ii) material malperformance by the relevant Card Scheme or Acquirer (or reasonable ground for Botim Money to expect such malperformance); (iii) Botim Money having reasonable grounds to doubt the creditworthiness of the Card Scheme or Acquirer; or (iv) a sharp increase in costs for Botim Money to offer the Payment Method due to new circumstances; Botim Money may decide in its reasonable discretion and where possible, Botim Money will use its reasonable efforts to give the Merchant prior notice of any decision to stop supporting a particular Payment Method or make future support conditional on the acceptance by the Merchant of additional conditions or increased fees. Botim Money will use its reasonable endeavours to offer an alternative for any discontinued Payment Method to the Merchant.
  2. The Merchant understands that Acquirers and/or Card Schemes might cancel certain Payment Methods, change the characteristics thereof or change the acceptance criteria under which they make them available. As a consequence, Botim Money may be forced to prevent the Merchant from further use of a Payment Method or impose additional restrictions or conditions on its continued use. Where possible, Botim Money will use its reasonable efforts to give the Merchant prior notice of any such change or cancellation and Botim Money will, on the Merchant’s request, reasonably assist the Merchant in finding alternative Payment Methods available to the Merchant.

2.4 Card Holder Authentication Methods:

  1. For all Transactions processed through the Hosted Payment Pages, 3D Secure authentication shall be used by the Merchant, provided that such 3D Secure authentication is supported by the Acquirer and the Payment Method used for the relevant Transactions in combination with the Software.
  2. Where the Merchant elects not to use 3D Secure authentication protocols, the Merchant acknowledges and confirms that:
    1. for all transactions processed without 3DS authentication, the Merchant shall assume full liability for any and all losses resulting from Chargebacks, fraudulent transactions, disputes or penalties; and
    2. bypassing 3D Secure authentication may significantly increase the risk of Chargebacks and fraudulent transactions and that Botim Money has advised the Merchant of such risks.

2.5 Card Holder Payment Currency:

Botim Money has the right to offer the Card Holder the option to use a different Payment Currency than the Order Currency. Notwithstanding the fact that the Card Holder may use a Payment Currency different from the Order Currency, the Merchant will receive Settlement of the Transaction amount in the Order Currency (unless otherwise agreed in the Agreement or the Merchant does not make a bank account available for Settlement in the Order Currency).

2.6 Fraud Control:

  1. All Transactions processed by Botim Money will be screened by the Fraud Control Tool, which performs a number of checks on the Transactions and attaches a resulting total score to each Transaction, which represents the likelihood of the Transaction being fraudulent.
  2. The Fraud Control Tool does not guarantee the prevention of fraudulent Transactions, nor against resulting Chargebacks or Fines. Regardless of the resulting total score or the result of the Fraud Control Tool, Transactions may be fraudulent or non-fraudulent.
  3. Botim Money reserves the right to change the scoring values or add additional factors at its sole discretion in the Fraud Control Tool in case Botim Money in its reasonable discretion determines that the Merchant to be at risk of accepting fraudulent Transactions or creating increased Chargeback levels. Furthermore, Botim Money has the right to add new checks to the Fraud Control Tool or change existing checks without prior notice to the Merchant and temporarily suspect settlements to the Merchant until completion of the fraud investigation.
  4. For some Payment Methods, Transactions can be cancelled by the Merchant after they have been Authorised. Botim Money reserves the right to cancel Transactions that it has reasonable grounds to suspect to be fraudulent, involving other criminal activities or otherwise violates any applicable laws and regulations or the Agreement, even if the Fraud Control Tool failed to block the Transaction.
  5. Suspension of Transactions and Services:
    1. In the event Botim Money has reasonable grounds to believe that a Transaction is fraudulent, involves criminal activity, or otherwise violates any applicable laws, regulations, or these Terms, Botim Money reserves the right to issue an instruction to the Merchant to immediately suspend acceptance of such Transaction.
    2. The Merchant agrees to comply promptly with any such instruction from Botim Money. This includes immediately halting the delivery of the Merchant Products or Merchant Services related to the Transaction in question.
    3. The Merchant acknowledges that any failure to comply with an instruction from Botim Money to suspend a Transaction or halt the delivery of the Merchant Products or Merchant Services could lead to immediate termination of the Agreement, potential legal liability, and other adverse consequences.
    4. The Merchant agrees to cooperate fully with Botim Money and any relevant authorities in the investigation of any suspected fraudulent or criminal activities. This cooperation may include, but is not limited to, providing any relevant records or information, facilitating interviews or discussions, and implementing remedial or preventive measures as advised by Botim Money, Card Schemes, Acquirers or the authorities. This clause shall survive the termination of the Agreement.

2.7 Captures:
For some Payment Methods it is possible to ask for Authorisation of a payment (to check whether the Card Holder indeed has an account that can be charged for the payment amount) without immediately Capturing the Transaction. The prior Authorisation gives the Merchant some additional assurance that when the Merchant Captures the Transaction, it will be Settled to the Merchant (and not blocked or subject to Chargeback). The Merchant is responsible for Capturing Transactions; this can be realised via the Merchant Portal or the API or using POS Terminals approved by Botim Money The Merchant understands that Authorised Transactions have a limited maximum Capture Period in which they can be Captured which is set by the Issuer or the relevant Card Scheme. Beyond the applicable Capture Period, the additional assurance granted by the prior Authorisation is no longer valid, increasing the chances of the Capture not leading to a successful Settlement for the relevant Transaction. It is the Merchant’s responsibility to check the applicable Capture Period to ensure it timely Captures Authorised Transactions. Merchant acknowledges that the Capture Period can be as short as one (1) day after Authorisation.

2.8 Settlements:

  1. Subject to the Deposit being maintained at the applicable Deposit Level, funds from the Card Holders charged for the validly processed Transactions of the Merchant which are Acquired via Botim Money are paid by the Acquirer or the Card Scheme to Botim Money, who will subsequently Settle received funds to the Merchant.
  2. Botim Money is only obliged to provide Settlement of Transactions for which it has received settlement(s) by the Acquirer or the Card Scheme. It is the Merchant’s responsibility to evaluate if the conditions imposed by the Payment Methods for settlement (as communicated from time to time to the Merchant by the Card Schemes themselves via their websites and other communication channels with the Merchant) are acceptable to the Merchant. This is specifically relevant for the Merchant to take into account with respect to Payment Methods that are not monitored and regulated by governmental financial services authorities such as, but not limited to, non-Card Scheme related prepaid cards and Short Message Service (SMS) and Interactive Voice Response (IVR) payments. The Merchant understands and agrees that Botim Money will not compensate the Merchant for late or non-performance, insolvency or bankruptcy of the Acquirer or Card Scheme due to which the Merchant receives late Settlement or no Settlement at all for processed Transactions.
  3. Botim Money reserves the right to withhold Settlement of Transactions if they are Captured, but suspected to be fraudulent, related to illegal activities or likely to become subject to a Chargeback or Fine by Botim Money and/or the relevant Acquirer and/or Card Scheme (as the case may be), until satisfactory completion of Botim Money’s investigation, that of the relevant Acquirer or Card Scheme or that of a third party nominated by any of these parties. The Merchant undertakes to give its full co-operation to any such investigation. This clause shall survive the termination of the Agreement.
  4. No interest will be due over amounts held by Botim Money prior to Settlement of such funds to the Merchant, except in case Settlement is delayed for more than 90 days due to the wilful default or gross negligence of Botim Money. In such case, interest will be due by Botim Money over the late Settled amount at the rate of 0.01% per month starting from the expiry of the above stated 90 days period.
  5. Botim Money may not sell or pledge its receivables on or via the Card Schemes resulting from Transactions processed for the Merchant.
  6. The Merchant acknowledges that if a third party Acquirer, Card Scheme or Issuer does not timely or correctly settle funds to Botim Money, Botim Money does not have any control over timely settlement or correction of incorrect settlement by such Card Scheme, Issuer, or third-party Acquirer. Botim Money will, however on request, on a best efforts basis (without guaranteeing a successful outcome) and on behalf of all of its merchants, request settlement and/or correction of an error by a Card Scheme or third party Acquirer.

2.9 Required Data:

  1. The Merchant shall promptly provide all information requested by Botim Money from time to time regarding the actual or expected Delivery Dates for processed Transactions and estimates for the average time between Transaction Authorisation and the related Delivery Date. Further, the Merchant shall promptly provide all information requested by Botim Money from time  to time on the Merchant’s then current ability to provide the Merchant Products and Merchant Services, its financial status, solvability and liquidity.
  2. Cooperation in Risk Assessment:
    1. The Merchant agrees to promptly provide to Botim Money all requested details about its Customers and Transactions as requested by Botim Money from time to time. This may include, but is not limited to, historical Transactional data, such as the number of successful orders in the past, whether a Card is on file, and other relevant Customer information.
    2. In addition to Customer-specific information, the Merchant is also required to promptly provide to Botim Money order-specific details, such as the make, model, origin details of the Merchant Product(s) or Merchant Service(s) being sold, or any other information relevant to the Transaction, as requested by Botim Money from time to time.
    3. The Merchant understands and agrees that the provision of such information is crucial for Botim Money to perform its risk assessments effectively and to ensure compliance with applicable legal and regulatory requirements as well as any requirement imposed by Card Schemes.
    4. The Merchant shall promptly respond to any request for information from Botim Money and shall provide accurate, complete, and up-to-date information to the best of its knowledge and belief.
    5. The Merchant acknowledges that any failure to provide the required information, or the provision of inaccurate or misleading information, may result in immediate termination of the Agreement, legal liability, and other adverse consequences.
    6. The Merchant agrees to implement and maintain adequate systems and procedures to collect and retain the required Customer and Transaction-specific information for the duration of the Agreement and for any additional period as may be required by applicable law or by Botim Money. This clause shall survive the termination of the Agreement.
    7. The information provided by the Merchant under this clause is used by Botim Money to (among other things) estimate the likely Uncompleted Order Amount and, in turn, the Deposit Level. In case Botim Money has reasonable grounds to question the accuracy or reliability of the information provided by the Merchant regarding (i) Delivery Dates and/or (ii) the Merchant’s financial stability and/or (iii) its ability to provide the Merchant Products and/or the Merchant Services to the Card Holders, Botim Money may, in its discretion, take this into account in estimating the Uncompleted Order Amount and the Deposit Level. Botim Money will, where reasonably possible (considering the grounds and urgency of the adjustment), request and consider the Merchant’s input on Botim Money’s amended assessment of the Uncompleted Order Amount before using it to amend the Deposit Level.

2.10 Merchant Obligations and Restrictions:

  1. The Merchant may only use the Services for payment of the Merchant Products and Services and through the URL specified in the Merchant Onboarding Form. The Merchant must not change the URL or change the Merchant Products and Merchant Services for which it uses the Services without having obtained Botim Money’s prior written approval. Failure to comply with this clause constitutes a material breach of the Agreement and will result in immediate termination of the Agreement and Services under clause 10.2(b)(ii).
  2. The Merchant shall not use the Services for the payment of the Merchant Products and/or Merchant Services where it is illegal to offer or provide these in the jurisdiction in which the Merchant or its Customers are based, and/or which constitute Prohibited and Restricted Products and Services. The Merchant may obtain a written waiver from Botim Money for the Merchant Products and Merchant Services in the ‘restricted’ section of the Prohibited and Restricted Products and Services List, but such waiver may be revoked by Botim Money at any time in its discretion by notice to the Merchant. The  Prohibited and Restricted Products and Services List may be updated from time to time at Botim Money’s discretion where needed to ensure legal compliance, compliance with Card Scheme Rules, prevent high levels of Chargebacks, reputational risks and/or to reduce exposure to potentially fraudulent or illegal Transactions. Where an amendment to the Prohibited and Restricted Products and Services List affects a significant portion of the Merchant Products or Merchant Services, the Merchant may terminate the Agreement by giving fifteen (15) written notice to Botim Money.
  3. Botim Money’s acceptance of the Merchant as customer should not be interpreted as an advice or opinion of Botim Money as to the legality of the Merchant Products or Merchant Services and/or of the Merchant’s intended use of the Services. The Merchant is and remains solely responsible to ensure the Merchant Products and Merchant Services sold are compliant with the Scheme Rules and applicable laws and regulations in its country of origin and the countries in which its Customers are based. Further, some Payment Methods apply additional restrictions as set out in the applicable Scheme Rules with which the Merchant must ensure compliance at all times.
  4. The Services may not be used (and Transactions may not be submitted for processing) for prepaying the Merchant Products or Merchant Services in respect of which the Delivery Date is (in part or in whole) more than 6 months after the date the Transaction is Captured.
  5. For E-commerce Transactions, the Merchant is obliged to provide on its website the following information to an Card Holder for every Transaction: complete description of the Merchant Products or Merchant Services offered, returned merchandise and refund policy, Customer service contact (including email address and/or telephone number), address, delivery policy, the Merchant’s consumer data protection policy and all other legally required information to be provided to the Card Holder in the relevant jurisdiction.
  6. Without prejudice to the Merchant’s record-keeping obligations under applicable laws and regulations, the Merchant must maintain a copy of all electronic and other records related to a Transaction and the ordering and delivery of the related Merchant Products or Merchant Services for the greater of (i) 2 years after the Transaction is Settled or (ii) the applicable warranty period for the related Merchant Products or Merchant Services. The copy of the records shall include: shipping details (if relevant), supplier invoices, invoices for the delivered Merchant Products or Merchant Services and all contacts with the Card Holder. In case of investigations by Botim Money, the Acquirers and/or the Card Schemes with respect to Chargebacks, suspected fraud or other RFI’s from the Card Schemes, the Merchant undertakes to fully co-operate in the auditing of such records.
  7. The Merchant is obligated to maintain accurate and verifiable records demonstrating the successful delivery of the Merchant Products or Merchant Services to the Customer in connection with each Transaction processed through Botim Money. This proof of delivery may encompass various forms of evidence, including but not limited to delivery receipts, signed acknowledgement of receipt by the Customer, tracking numbers, service completion reports, or other documentary evidence reasonably acceptable to Botim Money. Upon Botim Money’s request, the Merchant is required to provide such proof of delivery promptly, and in any event no later than two (2) Business Days from the date of Botim Money’s request or such other timeline agreed by Botim Money in writing. The Merchant acknowledges and accepts that the failure to provide satisfactory proof of delivery within the stipulated timeframe may result in immediate suspension of the Services, withholding of Settlement amounts, legal liability, and other adverse consequences. The Merchant shall indemnify and hold Botim Money harmless against any losses, damages, costs, or expenses arising out of or in connection with the Merchant’s failure to provide satisfactory proof of delivery as required under these Terms. This indemnity shall survive the termination of the Agreement.
  8. The Merchant is expressly prohibited from altering the delivery address for any Transaction subsequent to the request for Authorisation. Any deviation from this protocol may subject the Merchant to full liability for any Chargebacks or related losses that arise as a result of such changes. Accordingly, the Merchant acknowledges that any Chargeback loss will be borne solely by the Merchant, without any recourse to Botim Money. In the event of a chargeback that is under dispute and has not yet reached final resolution (open chargeback cycle), Botim Money reserves the right to take provisional action to secure the disputed amount:
    1. Where Sufficient Funds Exist: If the Merchant maintains sufficient funds in their account, Botim Money may place a hold or debit the equivalent amount of the chargeback on a provisional basis, pending the outcome of the chargeback cycle. Such funds shall be held in a non-interest-bearing account or reserve until the chargeback is resolved.
    2. Where Insufficient or No Funds Exist: If the Merchant does not maintain sufficient funds in their account, the Merchant shall, upon demand, remit the provisional chargeback amount to Botim Money, or Botim Money may recover such amounts by withholding future settlements. The Merchant acknowledges and agrees that Botim Money may take such interim measures to mitigate chargeback exposure during the open dispute process. The Merchant acknowledges and agrees that all chargeback-related liabilities are solely their responsibility, irrespective of the reason for the chargeback.
  9. This clause is designed to mitigate potential fraud risks and protect the integrity of Botim Money’s transaction processing system, and as such, it shall survive the termination of the Agreement.
  10. Returns and Warranties:
    1. The Merchant agrees to establish, maintain, and strictly adhere to clear and fair policies regarding the Merchant Products or Merchant Services returns, refunds, and warranties. These policies shall be in compliance with all applicable laws and regulations (including Card Scheme Rules) and shall provide for adequate protection of Customers’ rights and interests.
    2. These policies must be made readily accessible to Customers at all times through the Merchant’s website, physical store, or other appropriate means.
    3. The Merchant shall ensure that all Customers are made aware of these policies prior to the completion of any Transaction.
    4. In the event of a breach of clause 2.10(i), or if Botim Money determines that the Merchant’s return, refund, or warranty policies are not available to Customers or are inadequate, Botim Money reserves the right to immediately suspend the provision of the Services.
    5. Furthermore, Botim Money reserves the right to withhold all Settlement amounts and Deposit due to the Merchant in order to settle any claims by Customers arising out of or in connection with the Merchant’s failure to uphold its return, refund, or warranty policies.
    6. The Merchant acknowledges and agrees that such suspension of Services and withholding of funds are without prejudice to any other rights or remedies that Botim Money may have under these Terms, at law or in equity.
    7. The Merchant further agrees to indemnify and hold Botim Money harmless against any losses, damages, costs, or expenses arising out of or in connection with any claim by a Customer related to the Merchant’s return, refund, or warranty policies. This clause 2.10(i)(vii) shall survive the termination of the Agreement.

2.11 Warning – Fines Card Schemes:

  1. The Card Schemes can levy significant Fines for violations of their Scheme Rules, ranging from 100,000 AED to over 4 million AED. The Card Schemes do this to protect the Card Holders, merchants (including the Merchant) and providers of the Payment Methods collectively against misuse, fraud, illegal activities, breach of applicable laws, reputational damage and excessive costs.
  2. The Merchant is strongly advised to regularly review the latest Scheme Rules and relevant changes to applicable laws and regulations to ensure compliance therewith. Such Scheme Rules and summaries are provided for convenience only and Botim Money does not warrant that the version of the Scheme Rules provided or any such summary is complete, accurate, or up to date. It is the sole responsibility of the Merchant to review and understand the full text of the applicable Scheme Rules (including any updates and amendments thereto) directly on the Card Scheme’s website and to ensure ongoing compliance therewith. Where the Merchant finds the Scheme Rules (including any Fine imposed thereunder) to be unacceptable, the Merchant should stop using the relevant Payment Method. Notwithstanding the Merchant ceasing to use any relevant Payment Method, the relevant Scheme Rules and these Terms remain applicable to previously processed Transactions for the Merchant using such Payment Method.
  3. Where Botim Money becomes aware of and/or receives any notice of a potential exposure to a Fine related to the Merchant’s non-compliance with the Scheme Rules, the Merchant will promptly on request by Botim Money provide all reasonable co-operation to help investigate the relevant circumstances and remedy the relevant violation, notwithstanding all other rights and remedies of Botim Money under these Terms. Where possible, Botim Money will share relevant feedback received by the Merchant with the Acquirer / Card Scheme handling the potential Fine so it can be taken into consideration by the Acquirer / Card Scheme. If a Fine is imposed as a result of the Merchant breach of the Scheme Rules, it may be invoiced by the Card Scheme and/or the relevant Acquirer to Botim Money as their contracting party (for the benefit of the Merchant). The Merchant shall fully indemnify and hold Botim Money harmless from any Fines applied by the Central Bank or Card Schemes as a result of Merchant’s breach of the Agreement  and/or the Scheme Rules. This indemnity shall survive the termination of the Agreement.

2.12 Right Of Set-Off:

  1. Without prejudice to any right to set-off which Botim Money may be entitled to as a matter of law, Botim Money may set-off any amounts due to the Merchant against any amounts owed by or other liabilities of, the Merchant, now or at any time hereafter due, owing or incurred by the Merchant to Botim Money under, in connection to, or pursuant to these Terms and/or the Merchant Onboarding Form. This right of set-off may be exercised where proceedings are initiated for the winding up, bankruptcy or dissolution (or similar proceedings) of the Merchant.
  2. The Merchant will be informed of Botim Money’s use of its set-off rights. Claims expressed in different currencies will be set-off at the prevailing exchange rate(s) at the date of set-off.

3. Pricing and Invoicing:

3.1 Invoicing:

  1. All Transactions processed by Botim Money shall be subject to Fees payable by the Merchant in accordance with this Agreement. Fees once received shall not be refundable unless received in error by Botim Money.
  2. Botim Money will invoice the Merchant monthly for the Services rendered. Invoices provide  details  of (i) the Transaction Fees and other costs and fees due for the past month, calculated on the basis of the previous  month’s Transaction volume, (ii) the Transaction Fees and other fees already withheld from the Settlements and (iii) where relevant, the remaining amount due from or credited to, the Merchant. Amounts due from the Merchant or to be credited to the Merchant are subsequently added to or subtracted from the next Settlement to the Merchant or, in absence of a next Settlement, are payable by the Merchant or credited to the Merchant as applicable within 15 days of the invoice date. The invoice currency will be AED unless expressly otherwise agreed in writing.
  3. Botim Money provides electronic invoices as standard.

3.2 Pricing:

  1. Unless required to increase pricing with immediate effect, Botim Money shall be unilaterally entitled to raise the prices for its Services by giving one (1) month prior notice (the Notice Period) to the Merchant. Such price increases shall only become effective for the Services rendered by Botim Money starting at the end of the Notice Period. The Merchant may, however, cancel and terminate the Agreement by providing written notice to Botim Money to this effect before the expiry of the Notice Period.
  2. For the avoidance of doubt, this clause does not apply to any communicated increase of fees charged by the Acquirers or Card Schemes for the use of their Payment Methods by the Merchant where such fees are not included in the fees charged by Botim Money (e.g. in case the Interchange Fee is increased by the relevant Card Scheme or Acquirer where an Interchange Plus pricing applies) or due to changes in applicable laws or regulations.
  3. Botim Money reserves the right, at its sole discretion, to impose a Non-Usage Fee in the event its Services are not used by the Merchant during a month.
  4. All prices specified by Botim Money are exclusive of VAT, for all Payment Methods.

3.3 Inflation:

Without prejudice to any other provision of these Terms, once a year, Botim Money shall be entitled to change its fees and prices to adjust for inflation by a rate not exceeding last year’s published Inflation. Botim Money will give one month prior notice to the Merchant of any such price change. The Merchant shall not be entitled to terminate the Agreement as a result of any price increase under this clause.

3.4 Deposit Level Calculation:

The Deposit is designed to cover potential indebtedness of the Merchant for fees, Fines and Chargebacks payable to Botim Money. Botim Money calculates the Deposit Level having regard to its reasonably assessment of the Merchant’s Uncompleted Order Amount, potential Fine exposure and other potential liabilities and notifies the Merchant by email. Botim Money has the right to adjust the Deposit Level in its discretion from time-to-time. Upon the Merchant’s request, Botim Money will inform the Merchant of the information, estimations and assumptions and calculations used by Botim Money to calculate the Deposit Level.

3.5 Deposit Reservation:

  1. The initial Deposit Level will be set by Botim Money on the basis of the information provided by the Merchant regarding its anticipated initial use of the Services when entering into the Agreement. Botim Money may require the Merchant to transfer to Botim Money a Deposit in line with such initial Deposit Level before it starts using the Services for commercial (i.e. non-testing) purposes.
  2. Botim Money shall subsequently maintain the Deposit at the Deposit Level by deducting funds from or adding funds to each Settlement. If at any point in time the Deposit drops below the applicable Deposit level, Botim Money may require the Merchant to immediately (and in any event within three (3)  Business Days) transfer such funds to Botim Money as is necessary to bring the Deposit in line with the Deposit Level.
  3. After termination of the Agreement or after processing of Transactions is stopped, the Deposit shall be released by Botim Money in monthly instalments to the Merchant to account for the decrease in Uncompleted Order Amount, fraud exposure and/or Fine exposure until the full Deposit is released to the Merchant or where applicable, in part or in whole, applied by Botim Money to pay for Chargebacks, cover Fines or fraud claims or pay for unpaid Botim Money fees due by the Merchant. The Deposit will be fully released to the Merchant 12 months after the processing of Transactions for the Merchant has stopped unless specifically identified potential liabilities still exist at that point in time and notified to the Merchant.

3.6 MDR Calculation:

  1. For the ‘Blend Fee’ pricing structure for the MDR, the Merchant acknowledges that the underlying Interchange Fee is calculated by Botim Money based on Traffic characteristics provided by the Merchant and documented in the Merchant Onboarding Form when agreeing the Blend Fee. If the actual Traffic differs materially from the figures provided by the Merchant, Botim Money has the right to proportionally adjust the Blend Fee accordingly.
  2. For the ‘Interchange Plus’ pricing structure, the Merchant acknowledges that the actual MDR is calculated by Botim Money based on the applicable Card Scheme Interchange Fee per Transaction for the relevant Transaction. The applicable Card Scheme Interchange pricing level is determined and published by each Card Scheme.
  3. The agreed MDR pricing structure is documented in the Merchant Onboarding Form.
  4. With respect to the ‘Blend Fee’ pricing structure, any charges and/or fees from the relevant Card Schemes, Issuers, and/or third party Acquirers are collected on behalf of such third parties by Botim Money.
  5. With respect to the ‘Interchange Plus’ pricing structure, the Merchant acknowledges that the Interchange Fees (including ‘scheme fees’) are borne by the Merchant. Interchange Fees are collected by Botim Money on behalf of Card Schemes and payable by the Merchant to Botim Money. The mark-up is agreed between Botim Money and the Merchant as compensation for Botim Money’s risk and efforts related to the Acquiring of Transactions for the Merchant. The Merchant acknowledges that the Interchange Fees (including any ‘scheme fees’) are set by the Card Schemes (and not by Botim Money).

3.7 Payment:

  1. The Merchant agrees to the withholding of any amounts from Settlement necessary to cover Fees, Fines, Chargebacks or any other amounts due to Botim Money under the Agreement as well as funds required to meet the Deposit Level. If the Settlement amounts are not sufficient to cover amounts due by the Merchant to Botim Money and or necessary maintaining the Deposit at the Deposit Level, Botim Money shall issue an invoice for the shortfall which shall be payable by the Merchant within 15 days of the date of the relevant invoice.
  2. Notwithstanding anything to the contrary in these Terms, Botim Money has the right at any time to require immediate payment of the following sums and/or to set-off the Merchant’s debts to Botim Money against Settlements owed to the Merchant:
    1. Fines, Refunds and/or Chargebacks where the outstanding Fine, Refund and/or Chargeback amounts exceed the Settlement amount.
    2. Any amount required by Botim Money to cover any (potential) liability of the Merchant under the Agreement (including these Terms).
    3. Any other charges or amounts due by the Merchant under the Agreement including Fines from the Card Schemes and amounts described in clause 3.7(c) below.
  3. Retrospective Recovery of Fees and Charges:
    1. In the event that Botim Money, due to its own error, system malfunction, or other inadvertent oversight, fails to levy or recover any applicable fees or charges from the Merchant, Botim Money reserves the right to rectify such oversight at any time and without having to give any reason therefor.
    2. Botim Money shall be entitled to retrospectively recover such applicable fees or charges from the Merchant. This retrospective recovery may take into account any fees or charges that should have been applied and were not due to the aforementioned circumstances.
    3. Botim Money will notify the Merchant in writing of any such retrospective recovery of fees or charges, detailing the nature of the oversight and the amount to be recovered.
    4. The Merchant agrees to pay such retrospectively recovered fees or charges within seven (7) days from the date of the notice from Botim Money.
  4. Interest shall accrue on any unpaid amounts owed by the Merchant to Botim Money at the rate of 1% per month.

3.8 Taxes:

All fees of Botim Money are exclusive of applicable Value Added Tax, turnover and other taxes or levies which will be separately payable by the Merchant, where applicable, to invoiced amounts for the Services.

4. Integration:

4.1 Hosted Payment Pages:

  1. The Services shall be used by the Merchant for Card Not Present Transactions via the Hosted Payment Pages unless agreed otherwise in the Agreement. The Merchant shall redirect the Card Holder to the secured Hosted Payment Page of Botim Money for Card Not Present Transactions. The Hosted Payment Pages can be tailored by the Merchant by using the standard ‘skin’ options embedded therein.
  2. The Merchant shall not capture, register and/or have the Card Holder fill in, any Payment Details (including Credit Card data) on its own website. The Merchant agrees and undertakes that the Card Holder shall submit its Payment Details only on the Hosted Payment Pages. The Merchant undertakes not to use screen grabbing or other emulation technologies to input Payment Details onto the Hosted Payment Pages.

4.2 API:  (Only applicable if Botim Money expressly agreed to provide to the Merchant an API via the API method for Card Not Present Transactions.)

    1. Connections to the API are made with “SOAP” calls using HTTPS. Authentication is performed via a combination of username/password, IP and/or client certificate checks.
    2. If the Merchant does not activate 3D-Secure for Transactions offered via the API where such option is available, the Merchant understands that a higher Interchange Fee may be applied by the Card Schemes and/or Acquirers and other restrictions may be applied by the Card Schemes and/or Acquirers.
    3. The Merchant using the API must at all times fully comply with the PCI-DSS rules and, on Botim Money’s first request, promptly demonstrate such compliance and provide its valid certification of its compliance. If the Merchant cannot prove its compliance with the PCI-DSS rules or its certification/compliance becomes invalid, the Merchant will notify Botim Money immediately. Botim Money has the right to immediately suspend Transaction processing for the Merchant if Botim Money has any indication or reasonable suspicion that the Merchant is not compliant with the PCI-DSS rules which the Merchant cannot promptly prove to be unfounded. The Merchant shall fully indemnify and hold Botim Money harmless from any losses, claims (including applied Fines applied by the Card Schemes), costs or damage Botim Money incurs as a result of the Merchant’s breach of this obligation. This indemnity shall survive the termination of the Agreement.

4.3 Merchant Equipment And Software / POS Terminals:

  1. The Merchant shall be solely responsible for the installation, servicing, maintenance, security and operation of the equipment and software needed to connect to the API and submit Transactions for processing by Botim Money. Botim Money provides standard software modules and installation guides to the Merchant to help enable the connection to the API and may provide software tooling to interact with POS Terminals provided or approved by Botim Money to connect to the API. Botim Money shall ensure its input is provided in a professional manner, but the Merchant remains responsible to ensure the correct implementation and use of the Services in its own systems in accordance with the latest installation and usage instructions and software updates provided by Botim Money via the Botim Money website.
  2. The Merchant may only submit POS Transactions for processing to Botim Money if this is explicitly agreed in the Agreement. All POS Transactions must be submitted by the Merchant for processing using POS Terminals approved by Botim Money for such purpose from time to time and the Merchant must adhere strictly to latest usage instructions issued by Botim Money.
  3. The Merchant acknowledges and agrees to maintaining the highest level of security by promptly updating its Point-of-Sale (POS) software in a timely manner, in accordance with the timelines and specifications provided by Botim Money or the software provider. The Merchant understands that failure to update the POS software could potentially expose Botim Money to vulnerabilities and fraudulent activities. Consequently, any losses, damages, liabilities, costs, or expenses incurred by Botim Money due to the Merchant’s failure to update the POS software within the stipulated time will be borne solely by the Merchant. The Merchant hereby indemnifies and holds Botim Money harmless against any such consequences. This indemnity is binding and shall survive the termination of the Agreement.
  4. Where a POS Terminal is provided by Botim Money or recommended for use by the Merchant in combination with a third party device like a tablet, I-pad, cash register etc., (each a “Third Party Device”), the Merchant must install the latest version of the software and related updates issued by Botim Money for such Third Party Device on such Third Party Device. Botim Money is not responsible or liable with respect to the proper functioning of the Third Party Device and the Merchant’s use of such Third Party Device will be subject to license and usage terms imposed by the relevant provider of such Third Party Device.
  5. Botim Money may also provide the Merchant with software building blocks (such as software libraries) to enable the Merchant to create applications to interact with Botim Money or Botim Money approved POS Terminals. Support by Botim Money with respect to the use of such tooling and software building blocks and the applications created therewith, is not included in the Services and such tools are provided on an “as is” basis without any warranty. The installation, configuration, or use of any third-party applications, software, or tools on the POS Terminal is strictly prohibited unless expressly authorized in writing by Botim Money.
  6. The Merchant shall use the POS Terminals to submit POS Transactions for processing by Botim Money solely within the UAE. The Merchant shall not, under any circumstances, use or permit the use of such POS Terminals outside the UAE. The POS Terminals used to submit POS Transaction for processing by Botim Money must be installed and operated exclusively at the Merchant’s premises or at any other UAE location expressly approved in writing by Botim Money.
  7. The Merchant shall not use, or allow the use of, any Virtual Private Network (VPN) or similar technologies, proxies, tunnelling software, or any other tools or applications that allow for the transmission of data across public or shared networks from or to the POS Terminals used to submit Transactions for processing by Botim Money.
  8. The Merchant shall not, and shall ensure that its employees, contractors, or agents do not, relocate, alter, adjust, dismantle, interfere with, or in any manner tamper with the POS Terminals. Any damage or malfunction resulting from such actions shall be the sole responsibility of the Merchant.
  9. Access to the POS Terminals used to submit POS Transactions to Botim Money shall be limited strictly to authorized personnel of the Merchant. The Merchant shall take appropriate measures to ensure that unauthorized individuals do not access or operate such POS Terminals.

4.4 Hardware Warranty POS Terminals Provided By Botim Money:

  1. Each POS Terminal provided by Botim Money to the Merchant has a three month limited hardware warranty, which starts on the day the POS Terminal is made available to the Merchant. The hardware warranty solely entitles the Merchant to the free reparation or replacement of the Botim Money provided POS Terminal which cannot be used to submit Transactions to Botim Money as a result of a defect in the POS Terminal. In order to claim the reparation or replacement of a defective POS Terminal under the hardware warranty, the Merchant must contact the Botim Money Service Desk prior to the expiry of the term of the hardware warranty and send the defective POS Terminal to the return address specified by the Service Desk, together with a filled out hardware claim form provided to the Merchant by Botim Money for such purpose.
  2. The hardware warranty does not apply in case the defect is caused by: (i) any undue external influence (e.g. contact with water, extreme temperatures, dropping the device etc.); (ii) any attempt to open, change, repair or add to the POS Terminal parties other than Botim Money or approved by Botim Money in writing; (iii) use contrary to the operating instructions issued by Botim Money for such POS Terminal; (iv) use of the POS Terminal in combination with any third party software or device other than the latest Botim Money approved versions of Third Party Devices, using then latest versions of Botim Money released software applications for the relevant Third Party Device.
  3. If Botim Money’s ceases to approve a type of POS Terminal to connect to the API, Botim Money, will, where reasonably possible, notify the Merchant at least 3 months in advance via email. Botim Money will use commercially reasonable efforts to continue to support a specific model of POS Terminal it previously provided to the Merchant for at least 2 years from the date such POS Terminal is made available for use by the Merchant. Botim Money reserves the right to apply a shorter notice period where reasonably deemed necessary: (i) to comply with new Card Scheme requirements; (ii) to comply with changes in applicable laws; or (iii) to address an imminent security threat identified by Botim Money. If Botim Money discontinues support of a previously provided POS Terminal during the applicable hardware warranty period as specified in this clause 4, Botim Money will at the Merchant’s request replace such POS Terminal at no additional charge.
  4. The Merchant is expressly prohibited from engaging in any unauthorized tampering, alteration, modification or interference with the software or hardware modules provided or licensed by Botim Money. Such actions are strictly prohibited and may result in immediate termination of the Terms and other legal consequences. The Merchant acknowledges that any such tampering could potentially expose Botim Money to significant risks, including but not limited to, security breaches, data losses, operational disruptions, and reputational damage. Consequently, the Merchant agrees to indemnify and hold Botim Money harmless from and against any and all losses, damages, liabilities, costs, or expenses incurred by Botim Money as a result of any such unauthorized tampering by the Merchant. This Indemnity is binding and shall survive the termination of these Terms.

4.5 Merchant Integration Responsibility:

It is the responsibility of the Merchant to comply with the relevant instructions and installation manuals issued by Botim Money regarding its integration into the Services and Software and any updates thereto issued to the Merchant via the Customer Interface. Botim Money is not obliged to provide notification of changes to the Software and the interfaces thereto which would not impact the Merchant’s use of the Services if it had correctly followed the integration instructions and other usage manuals.

4.6 Defensive Programming:

Botim Money strongly advises the Merchant to use “defensive programming” when integrating with the Services. This involves – among other things – that automated decisions programmed into the systems of the Merchant should be defaulted to non-delivery of the Merchant Products and Merchant Services.

4.7 Meaning Of Payment Status “Authorised”:

If a payment request receives the status “Authorised” (or similarly worded status), the payment transaction is likely to be Settled. Notwithstanding this, payment may still be blocked or subject to Chargeback by the Card Holder (where Chargeback is possible under the relevant Scheme Rules) or subject to Capture by the Merchant. The likelihood of a payment marked as “Authorised” being blocked or unsuccessful depends on the Payment Method which is used. For example, for direct debit transactions this risk is significant because in most cases the status “Authorised” only means the Card Holder’s bank account exists and not that there are enough funds on the bank account to actually perform the payment.

4.8 Changes To Software:

  1. Botim Money reserves the right to change or amend the Software and the API to it at any time, to provide the Merchant with a new version thereof, and/or to change the functionalities and characteristics of the Software. No changes will be implemented by Botim Money which materially reduce functionality of the Services which was explicitly committed to be provided under the Agreement, except where this is made necessary by: (i) the need to follow generally accepted changes in industry standards, (ii) changes in applicable laws or Scheme Rules, (iii) the need for increased security due to security risks identified by Botim Money (iv) other reasonable grounds which warrant the reduction of functionality. If the Merchant is significantly impacted by a material reduction of functionality due to a change in the Software, it may terminate the Agreement by giving written notice to Botim Money within one month of Botim Money announcing the change.
  2. Botim Money will announce material changes to the API, where reasonably possible, at least 12 months in advance to the Merchant to allow the Merchant to prepare for any impact. Botim Money endeavours to minimise changes to the API. Shorter notice periods may have to apply to comply with applicable laws, changes in requirements from Acquirers or Card Schemes or the need for increased security due to security risks identified by Botim Money.

4.9 Security Of Payment Details:

The Merchant guarantees not to copy, capture or intercept Payment Details such as credit card numbers, CVM Codes and ‘PIN’ codes, which are entered on the Hosted Payment Page or the POS Terminal. This rule is imposed by the Card Schemes to protect Card Holders against misuse of Customer Payment Details (like credit card numbers) and is strictly enforced by the Card Schemes. A violation of this rule can lead to the application of high Fines by the Schemes Owners. If Botim Money has reason to believe that the Merchant is copying, capturing or intercepting Payment Details, Botim Money has the right to suspend processing of Transactions and Settlement. The Merchant shall fully indemnify and hold Botim Money harmless from any losses, claims (including applied Fines by the Card Schemes), costs or damage Botim Money incurs as a result of the Merchant’s breach of this obligation. This indemnity shall survive the termination of the Agreement.

5. Customer Support:

Regular support is available by email, web or telephone on Business Days during Working Hours. Emergency support is provided 24 hours per day. Supported helpdesk language is English. Support documentation is available in English.

6. Service Level Agreement:

6.1 Uptime Commitment API:

  1.  Botim Money commits to use all commercially reasonable efforts to achieve an average minimum uptime of 99.5% (measured on a quarterly basis) of the API, to receive Transaction requests. For the purposes of calculating the uptime the following shall be excluded: (a) any downtime of the API caused by acts or omissions of the Merchant, Acquirers or Card Schemes, (b) changes implemented at the Merchant’s specific request, (c) general internet failures, (d) failures of individual Payment Methods and (e) Force Majeure. The Merchant is obliged to immediately notify Botim Money of any downtime of the API which it experiences and to provide all reasonably requested co-operation in investigating and resolving any such downtime.
  2.  Botim Money uses all reasonable efforts to avoid having to take the API offline to execute planned maintenance. Should it nonetheless prove necessary to take the API offline for maintenance purposes, Botim Money will provide as much notice as practically possible and plan such maintenance in a manner and on a date and time to minimize the potential number of affected Transactions for all its merchants. Should in emergency situations (e.g. in case of force majeure event or terrorist attack) or unplanned maintenance be required, necessitating that API  to be taken offline, Botim Money will use reasonable efforts to keep the required downtime to a minimum.

6.2 Security And Compliance:

Botim Money takes reasonable measures to provide a secure payment system and shall keep the systems it uses to provide the Services PCI-DSS certified.

6.3 Backoffice Maintenance:

Planned maintenance to the back office of Botim Money’s payment processing system will happen in the standard weekly maintenance window on Tuesdays 10:00 – 11:00 hours GST or at other times as determined by Botim Money and communicated to the Merchant from time to time. The Merchant Portal may be temporarily unavailable during planned maintenance. As specified above, back- office maintenance will only in exceptional circumstances affect the availability of the API for accepting Transactions.

6.4 Force Majeure:

  1. Subject to ii below, neither Party will be held liable for any failure or delay in fulfilling its obligations under this Agreement to the extent that such failure is caused by a Force Majeure Event.
  2. If a Party is affected by a Force Majeure Event, such Party, it will:
    1. as soon as reasonably possible, but not more than five (5) Business Days from the commencement of the Force Majeure Event, give written notice to the other Party outlining the extent and effect of the Force Majeure Event on the performance of its obligations under the Agreement;
    2. take such reasonable steps as are necessary to limit the effect of the Force Majeure Event; and
    3. give written notice to the other Party of the cessation of the Force Majeure Event within five (5) Business Days from the cessation.
  3. Notwithstanding the terms of clause 6.4(b), the obligations of the affected Party shall only be suspended for a maximum period of thirty (30) calendar days, and thereafter the non-affected Party shall be entitled to terminate the Agreement by giving ten (10)  Business Days’ written notice to the other Party.

 

7. Chargebacks and Refunds:

7.1 Chargeback Liability:

  1. Card Schemes may allow Card Holders to Chargeback Authorised and Settled Transactions by requesting a Chargeback from the Card Scheme or the Issuer. The Merchant’s receipt of a Settlement and/or Authorisation confirmation regarding a particular Transaction therefore does not unconditionally entitle the Merchant to receive Settlement of the Transaction amount or to keep the Settled amount, as in case the Card Holder claims a Chargeback in accordance with the relevant Scheme Rules, the Merchant loses entitlement to the relevant Settlement amount and must return it via Botim Money to the Card Holder. The Merchant acknowledges and agrees that it is responsible for checking the relevant Scheme Rules to see which Payment Methods allow Chargebacks and what procedures apply. Botim Money credits the Merchant with Settlement amounts on the condition that no Chargeback shall occur. If there is a Chargeback, Botim Money is authorized to adjust or set-off that credit with any other amount with Botim Money, due to Botim Money or that may become due to Botim Money in future.
  2. Card Schemes and Botim Money do not accept the Merchant generating excessive levels of Chargebacks as Chargebacks are an indication of Merchant’s inability to provide the Merchant Products and/or Merchant Services in accordance with Card Holder expectations and create additional work and costs for all parties involved (including Card Scheme, the Issuer and Botim Money). If Chargeback levels of the Transactions of the Merchant for a specific Payment Method are above levels acceptable for Botim Money and/or the relevant Card Scheme for that Payment Method or are expected to become above unacceptable levels, Botim Money reserves the right to immediately suspend the availability of the Services in respect of said Payment Method.
  3. In general, the Merchant should take into account that a Chargeback level of more than 0.5% of the total volume of Transactions which are Authorised, is considered unacceptable for Botim Money and most Card Schemes and can lead to the suspension of Transaction processing for the relevant Payment Method and/or Fines being applied (for which the Merchant will be responsible). For some Payment Methods higher or lower tolerances for Chargeback levels may apply, please check the relevant then current version of the relevant Scheme Rules. Please note that the relevant Card Scheme, Acquirer and/or Botim Money not taking immediate action in case of excessive Chargeback levels occurring cannot be interpreted as consent or a waiver of related rights by Botim Money, the relevant Acquirer or Card Scheme.
  4. The Merchant may not provide Refunds to a Card Holder for a previously processed Transaction using a different Payment Method than the method used for the original Transaction. The original Transaction can in such case still be subject to Chargeback by the Card Holder or Issuer, causing the Merchant having to refund the received funds twice. This is a well-known method to make fraudulent use of stolen Credit Cards at the expense of merchants.
  5. The Merchant acknowledges that excessive instances of refunds, Customer complaints, or returns are indicative of potential shortcomings in the Merchant’s ability to provide the Merchant Products and/or Merchant Services in accordance with Customer expectations. Such excessive occurrences place undue burdens on all involved parties, including but not limited to Botim Money, the Card Schemes, and the Issuer, due to the additional work and associated costs. Therefore, Botim Money and the Card Schemes do not accept an overabundance of these instances. The Merchant agrees to take all necessary steps to minimize such events and to promptly address any related issues that arise. Failure to do so may result in the imposition of penalties, up to and including termination of the agreement. The Merchant further agrees to indemnify and hold Botim Money harmless from any losses, damages, liabilities, costs, or expenses incurred as a result of excessive refunds, Customer complaints, or returns. This clause is binding and shall survive the termination of the Agreement.
  6. Where Botim Money has reasons to suspect that the Merchant is not delivering its Merchant Services or Merchant Product on or prior to the Delivery Dates used to calculate the Uncompleted Order Amount and/or if Botim Money has reason to suspect that the Merchant Products or Merchant Services for which Botim Money processes Transactions are based on fraud, likely to cause high Chargeback volumes and/or illegal, Botim Money has the right to suspend Settlement of all related Transactions and/or block Authorisations therefor until Botim Money has been given assurances to its satisfaction that the relevant Merchant Products and Merchant Services are actually delivered in accordance with applicable laws and orders placed by the Card Holder.

7.2 Chargeback Fee:

For every Chargeback, a non-refundable Chargeback Fee will be charged to the Merchant as set out in the Merchant Onboarding Form.

7.3 Chargeback Payment:

For every Chargeback where Botim Money is obliged to pay the Chargeback amount, the Merchant gives Botim Money authority to deduct the same amount from the Merchant Settlements or where the Settlement amounts are too low, from the Deposit.

7.4 Chargeback Period:

As Chargebacks may arise 180 days or more after the date of the relevant Transaction, the Merchant acknowledges and agrees that, notwithstanding the termination of the Agreement for any reason, Botim Money shall remain entitled to recover Chargebacks and Chargeback Fees and related Fines from the Merchant in respect of all Chargebacks that occur in relation to Transactions effected during the term of the Agreement.

7.5 Refund Charges:

  1. Refunds will be charged as a Transaction by Botim Money and a Refund fee can be applied by Botim Money after giving prior notice to the Merchant, if manual intervention is needed or additional costs are incurred by Botim Money to process such Refund.
  2. Botim Money will not execute a Refund (meaning the relevant sum will not be returned by Botim Money to the relevant Card Holder, directly or via the relevant Acquirer / Card Scheme) where there are insufficient funds from any upcoming Settlement. Refunds are not funded by Botim Money from the Deposit (as the Deposit is not calculated taking Refunds into account) or using Botim Money‘s own means. On the Merchant’s request an additional deposit specifically for funding Refunds may be created with Botim Money to ensure the immediate execution of Refunds, irrespective of then current Settlement amounts.

7.6 No Refund of Fees:

Fees charged for executing the original Transaction will not be refunded in part or in whole to the Merchant if the Transaction is Refunded or made subject to a Chargeback.

8. Property Rights:

8.1 The property rights in the Software and other materials and all other intellectual property rights related to Services are owned by Botim Money and its licensors. The Agreement does not transfer any intellectual property rights with respect thereto to the Merchant and only provides the Merchant a limited, non-exclusive and non-transferable license to use the Software and all other materials made available by Botim Money solely for the purpose of using the Services in accordance with the Agreement and the applicable usage instructions communicated to the Merchant via the Botim Money website from time to time.

8.2 If any claims for damages, costs and expenses are asserted against the Merchant by third parties asserting that these third parties are the owners of any rights regarding the Software and/or systems of Botim Money, Botim Money shall indemnify the Merchant without delay from these third-party claims, including the Merchant’s reasonable costs of its legal defence, and offer Merchant the necessary assistance in its legal defence.

9. Confidentiality, Privacy and Compliance:

9.1 Confidentiality:

  1. All information relating to the Merchant or to Botim Money and designated as being confidential, and all information not expressly designated as confidential but which should reasonably be deemed confidential by reason of its nature or content, is considered “Confidential Information” for the purposes of the Agreement . Each party remains the owner of all data made available to the other party. The Merchant acknowledges that the terms of the Agreement and any information provided by Botim Money on its Services (including communications from Botim Money’s support functions) are Confidential Information.
  2. Each party undertakes to take all necessary steps to protect the confidential nature of all Confidential Information of the other party, agreeing, in particular:
    1. to share Confidential Information solely with personnel and representatives of the parties which have a need to have access to such information in order to exercise rights and obligations under the Agreement; and
    2. to refrain from making any Confidential Information available to any third party without the prior written consent of the other party, except for Botim Money where necessary to perform the Services.
  3. The obligation to maintain confidentiality does not apply to information:
    1. which is publicly available through no fault of or failure to act of the party receiving the Confirmation Information;
    2. disclosed to one of the parties by a third party not known (after diligent inquiry) to be under any obligation to maintain confidentiality;
    3. already in the possession of or known to one of the parties at the time of disclosure;
    4. developed independently by the other party without violation of the terms of the Agreement or reference or access to the Confidential Information; or
    5. if and to the extent to one of the parties and/or their employees are obliged under an act or by decision of a court or administrative authority to disclose such information.
  4. The obligation of confidentiality as described in this clause shall remain in effect also following the termination of the Agreement, regardless of the grounds for termination.
  5. The following data is to be considered confidential, without need for special mention:
    1. all financial data;
    2. any agreed Merchant specific terms and conditions in the Agreement, if applicable; and
    3. all user manuals, guides and any Software relating to Botim Money’s products and services (including the Services).

9.2 Privacy:

Where Botim Money processes personal data while performing the Services, it will act as data processor under the direction and responsibility of the Merchant in accordance with applicable data protection laws and regulations of UAE and the Botim Money Privacy Policy. The Merchant will comply with the personal data protection laws of the Merchant’s country of origin and of those countries in which the Merchant offers its Merchant Products and/or Merchant Services from time to time, in particular when processing and sending personal data to Botim Money in the context of using the Services and submitting Transactions. The Merchant shall implement appropriate technical and organisational measures to protect personal data against misuse.

9.3 Compliance:

The Merchant’s use of the Hosted Payment Pages is PCI compliant under Botim Money’s PCI DSS certification for the Hosted Payment Pages subject to the Merchant complying to these Terms.

10. Duration and Cancellation:

10.1 Duration:

Except where explicitly agreed otherwise in the Agreement, the Agreement is entered into for an indefinite period until it is terminated by either party in accordance with clause 10.2 below.

10. 2 Termination:

  1. Each party may terminate the Agreement by giving at least one (1) month’s written notice to the other party.
  2. Botim Money has the right to terminate the Agreement and/or stop the processing or Settlement of Transactions for the Merchant immediately in part or in whole if:
    1. the provision of the Merchant Services or Merchant Products is reasonably suspected by Botim Money to be in breach with legislation or regulation in the country from or to which the Merchant Services or Merchant Products are offered;
    2. the Merchant has changed its URL or added new or materially changed the type of Merchant Services or Merchant Products it offers without obtaining Botim Money’s prior written permission to use the Services for such new URL or new or materially changed types of the Merchant Services or Merchant Products;
    3. the Merchant materially breaches any of the terms of the Agreement, the Scheme Rules and/or applicable laws or regulations;
    4. an Acquirer or Card Scheme demands that Botim Money terminates or suspends providing Services to Merchant with respect to Payment Methods made available by such Acquirer or Card Scheme to Botim Money; or
    5. Botim Money finds there are clear indications that the Merchant is or is likely to become insolvent and/or unable to provide a material part of the Merchant Products and/or Merchant Services.
  3. Botim Money has the unilateral right to terminate the Agreement (including these Terms), without any liability, should the Merchant remain inactive for a period of three (3) months (Non-Usage). The determination of inactivity and the decision to terminate the agreement rest solely at the discretion of Botim Money.
  4. Clauses 7, 8, 9, 11, 12.4, and 13 shall survive the termination of these Terms.

11. Liability:

11.1 No Liability For Card Schemes And Third Party Acquirers:

Botim Money shall only be liable for its own acts or omissions and not for acts or omissions of third parties. This exclusion expressly applies to acts and omissions of Card Schemes and Acquirers and to events or activities originating outside the systems of Botim Money (such as internet disturbances or malfunctions in third party systems), except in case such events were caused by the wilful default or gross negligence of Botim Money.

11.2 Limitation Of Liability:

  1. The total liability of Botim Money under the Agreement towards the Merchant for breach of contract, tort or under any other legal theory in any calendar year is limited to an amount equal to the total Processing Fees paid by the Merchant to Botim Money during the previous three months.
  2. Botim Money shall not be liable for breach of contract, tort or under any other legal theory for any loss of profit, business, contracts, revenues or anticipated savings, or damage to good name; or for any special, indirect, or consequential damages.

  3. Neither Botim Money nor any other party to the Agreement excludes or limits its liability under the Agreement for wilful default, gross negligence, death, fraud or personal injury.

11.3 Fines:

The Merchant shall indemnify and hold Botim Money harmless from any claim (including legal fees) brought against Botim Money by any third party (expressly including Card Schemes and Acquirers and their claims for payments of Fines) as a result of the Merchant’s breach of the terms of the Agreement, applicable laws and regulations and/or the Scheme Rules applying to the Payment Methods used by the Merchant.

12. General Provisions

12.1 Transfer:

Botim Money shall be entitled, at any time, to assign, novate or otherwise transfer the Agreement to another company in the Botim Money group or its affiliates without the prior consent of the Merchant by providing written notice to the Merchant of such transfer. The Merchant may not assign, novate or otherwise transfer the Agreement to any third party.

12. Null Provisions:

In the event that any provision in the Agreement (including these Terms) is declared null and void or inapplicable, said provision shall be deemed non-existent, and all other provisions of the Agreement (including these Terms) shall remain applicable. The parties undertake to take all steps to eliminate the provision declared null and void and/or inapplicable and to replace the same with a provision approaching, insofar as possible, the economic objective of the provision declared null and/or inapplicable.

12.3 Entire Agreement:

The Agreement contains all the commitments between the parties and replaces all other prior contractual commitments between the parties. No representation, warranty or undertaking given by any of the parties to any of the other parties under the Agreement shall be of any force or effect unless expressly reduced to writing and repeated in the Agreement , and all implied or prior representations, warranties and undertakings are, save to the extent expressly set out in the Agreement expressly excluded to the fullest extent permitted by law. In the event of any inconsistency between these Terms and the Merchant Onboarding Form, the Merchant Onboarding Form shall prevail.

12.4 Notices:

  1. Any notice or other communication to be made under or in connection with the Agreement (each a Notice) shall be made in writing and in the English language.
  2. Any communication to be made between the parties under or in connection with the Agreement may be made by email.
  3. Any Notice will only be effective if delivered by hand, prepaid signed for delivery, pre-paid special delivery, courier or email.
  4. Any Notice to be made under or in connection with the Agreement will only be effective on receipt and shall be deemed to have been received:
    1. at the time of delivery, if delivered by hand or courier;
    2. by 9.00am on the second Business Day after posting or at the time recorded by the delivery service, if by way of letter sent by pre-paid signed for delivery or pre-paid special delivery; and
    3. if sent by email, at the time of completion and receipt of a transmission by the sender provided that any notice dispatched by email after 5.00pm on any Business Day or at any time on a day which is not a Business Day shall be deemed to have been given at 9 am on the next Business Day,
    4. and only if it is addressed in such a manner as provided under this 12.4(d)
  5. Any Notice which becomes effective, in accordance with this Clause 12.4, after 5.00pm in the place of receipt on a Business Day or on any day that is not a Business Day shall be deemed only to become effective on the next Business Day.
  6. A Notice to Botim Money shall be sent to the following address, or such other person or address as Botim Money may notify to the Merchant from time to time by not less than five Business Days’ Notice

  7. A Notice to the Merchant shall be sent to the address set out in the Merchant Onboarding Form, or such other person or address as the Merchant may notify Botim Money from time to time by not less than five Business Days’ Notice.

12.5 Use of Name of the Parties:

  1. The Merchant agrees that its name and standard logo (as published by the Merchant) may be included by Botim Money in the Botim Money client list on its website and in its sales materials during the term of the Agreement and for a period of two (2) years following the termination of the Agreement. Botim Money shall be entitled to use said list freely in its commercial efforts. Any other use of Merchant’s name, logo or information shall only occur with the Merchant’s prior written approval which the Merchant may withhold in its discretion.
  2. The Merchant may on its website in the section entitled “frequently asked questions”, or in a similar informational section, refer to Botim Money as its payment service provider, explaining that this is the reason why the name Botim Money may appear on bank statements of the Customer. The Merchant may also include an internet link to the website of Botim Money in such context. The Merchant is precluded from mentioning Botim Money on the home page of its website. The Merchant must in each case also clearly state that Customers of Merchant should not contact Botim Money for support or questions regarding payments processed by Botim Money for Merchant. Merchant may not use the logo of Botim Money anywhere on its website without the prior express written approval of Botim Money, which Botim Money may refuse or withdraw at any time in its discretion and without having to give any reason therefor.

12.6 Changes To These Terms:

Without prejudice to any other provision of these Terms, Botim Money may revise these Terms from time to time by giving seven (7) days written notice to the Merchant via email. If the change has a material adverse impact on the Merchant and the Merchant does not agree to the change, the Merchant may give written notice of its objection to Botim Money before the expiry of the notice period. If Botim Money receives such notice before the expiry of the notice period, Botim Money will contact the Merchant to discuss the objections of the Merchant. If the Merchant continues to refuse to accept the change and Botim Money refuses to withdraw the change notified to the Merchant, the Merchant may terminate the Agreement by giving at least one month written notice to Botim Money (such termination notice to be sent at the latest 60 days after Merchant received notice of the change). The Merchant is not entitled to object to and shall not have the rights set out in this clause for any change which Botim Money implements in order to comply with applicable law or requirements imposed by the relevant Acquirers and/or Card Schemes. For such imposed changes shorter notice periods before the amendments take effect may be applied by Botim Money as is needed to comply with the relevant requirement.

12.7 Online Contracting – Written Confirmation:

Where the Merchant has concluded the Agreement with Botim Money via Botim Money’s website or via any other online means, Botim Money may at any time request that the Merchant re-confirms its acceptance of the Agreement by means of a written document signed by an authorised representative of the Merchant. If the Merchant does not comply with such request within five (5) days after receiving a request by Botim Money to do so (which request may be issued to the Merchant via the contact email address submitted by the Merchant when concluding the Agreement), Botim Money reserves the right to suspend part, or all of the Services until the Merchant has complied with such request.

13. Settlement of Disputes:

13.1 Dispute Handling:

The parties undertake to take all steps to reach an amicable agreement to any dispute arising in relation to the validity, interpretation or fulfilment of the Agreement . This clause is without prejudice to a party’s right to seek interim relief against any other party (such as an injunction) through the competent courts to protect its rights and interests, or to enforce the obligations of any of the other parties.

13.2 Applicable Law and Jurisdiction:

The Agreement(including these Terms) are solely governed by the laws of England and Wales to the extent they do not conflict with any law or regulations of the UAE and excluding the Convention on Contracts for the International Sale of Goods. In the absence of an amicable agreement, any dispute relating to the validity, interpretation or fulfilment of the Agreement shall be submitted to the exclusive jurisdiction of the court of Abu Dhabi Global Market for both contractual and non-contractual claims.
